These Terms & Conditions govern your use of the OHS Insider service, including all related tools, content, updates, alerts, templates, and online access (“Service”).
By completing your purchase, or using the Service, you agree to be bound by these Terms & Conditions.
Definitions & Scope
- You / Licensee means the individual or business entity purchasing the Service. If you are purchasing on behalf of a company, you represent that you have authority to bind that company to these terms.
- Service refers to the OHS Insider subscription and all associated content, tools, and access.
Membership Term & Pricing
- Initial Term. Your initial membership term is three (3) years from the date of purchase.
- First-Year Pricing. New members are offered a first-year rate of $597 (50% off the standard annual list price).
- Renewal Pricing. Unless terminated in accordance with these terms, after the initial term the membership will automatically convert or renew as follows:
• Year 2: 30% off the then-current list price
• Year 3: 15% off the then-current list price - Upfront Lock-In Option. You may choose to pay the full 3-year subscription fee upfront at the Year 1 rate. If you elect this option, your pricing is locked for all three years, and your membership will not be billed annually during the Initial Term.
Trial Conversions
Free trials convert into paid memberships on the date the trial expires. By starting a free trial, you agree that if you do not cancel in accordance with the section below, your Service will begin the Initial Term and billed at the first-year rate.
Billing & Payment
- Payment Methods. We will bill the payment method you provide at sign-up. For annual billing, charges occur on the anniversary of your membership start date.
- Commission Structure. Commission is paid only on upfront payments where the client opts to prepay the full 3-year term.
Automatic Renewal After Initial Term
After your 3-year Initial Term, your membership will automatically convert into successive one-year terms unless terminated in writing. The renewal price will be the prevailing rate less the relevant tiered discount as detailed above.
To avoid auto-renewal, you must provide written notice of non-renewal at least 90 days before the end of the then-current term.
Cancellation & Termination
- During Initial Term. You may not cancel your membership during the 3-year Initial Term except for material breach by Bongarde that remains uncured 30 days after written notice.
- Post-Initial Term. After the Initial Term, you may cancel future automatic renewals by providing written notice at least 90 days prior to the renewal date.
- No Partial Refund. All memberships are non-refundable. If you cancel after payment, you will retain access to the end of the paid period but no credits or refunds will be issued.
Access & Use
- Full Access. During the paid term, you have access to all OHS Insider content and tools included in your subscription plan.
- Credentials. You are responsible for maintaining the confidentiality of your login credentials. Unauthorized sharing or resale is prohibited.
Intellectual Property
All content; templates, tools, and materials provided through OHS Insider remain the intellectual property of Bongarde Media. You may use them internally but may not copy, distribute, or resell them without prior written permission.
Termination for Breach
Either party may terminate this Agreement if the other materially breaches and fails to cure within 30 days of written notice. Termination does not relieve the Licensee of obligation to pay fees accrued during the term, including any remaining amounts during the Initial Term.
Limitations of Liability & No Refunds
Except as prohibited by law, Bongarde disclaims all warranties, and you agree that in no event will Bongarde’s liability exceed amounts paid to Bongarde for the Service in the 12 months preceding the claim. No refunds will be issued for any unused portion of membership.
Governing Law
This Agreement is governed by the laws of the Province of British Columbia, Canada. Any legal action related to this Agreement must be brought in courts located in British Columbia.
Changes to Terms
Bongarde may modify these terms at any time by posting an updated version on its website. Changes will apply to future renewals but will not retroactively alter the terms of your current paid period.
